1. Definitions
In these Terms and Conditions:
- "Studio", "we", "us", "our" refers to Canopy & Grain, based at 30 Jalan Beringin, Bukit Damansara, 50490 Kuala Lumpur, Malaysia.
- "Client", "you", "your" refers to the individual or entity engaging Canopy & Grain's services.
- "Services" refers to the interior design services described on this website, including consultation, design, and renovation support.
- "Agreement" refers to the contract formed when you engage our services, incorporating these Terms.
- "Content" refers to all designs, documents, renders, and specifications produced by the Studio.
2. Acceptance of Terms
By contacting us, engaging our services, or using this website, you confirm that you are aged 18 or above and have the legal capacity to enter into a binding agreement. These Terms govern all interactions with Canopy & Grain unless a separate written agreement specifies otherwise.
3. Service Description
Canopy & Grain provides three main service tiers:
- Sheltered Conversation — a paid consultation service (MYR 460)
- Canopy Design Service — a comprehensive interior design service (MYR 3,400)
- Rooted Execution — renovation management and oversight (MYR 1,800)
Services are available to clients based in Malaysia. Geographic restrictions may apply to site-visit components for locations outside Greater Kuala Lumpur — these will be discussed at the time of enquiry.
4. Enquiries and Booking
Submitting an enquiry form does not constitute a service agreement. A service is formally engaged upon receipt of a written confirmation from the Studio and any required deposit payment.
5. Payment Terms
Fees
Design fees are stated in Malaysian Ringgit (MYR) and are exclusive of any applicable taxes. Material costs, furniture, and contractor fees are separate and will be itemised in a project estimate.
Payment Schedule
- Sheltered Conversation: full fee due at booking
- Canopy Design Service: 50% deposit on engagement, 50% on delivery of final documentation
- Rooted Execution: 40% deposit, 40% at mid-project milestone, 20% on completion
Accepted Methods
Bank transfer (Maybank, CIMB, or equivalent Malaysian bank), online payment as invoiced. Invoices are issued in MYR.
Refunds
The Sheltered Conversation fee is non-refundable once the site visit has taken place. For design and execution services, deposits are non-refundable if the Studio has commenced work. Unused portions of fees may be refunded at the Studio's discretion depending on project stage.
6. Client Responsibilities
To allow the Studio to deliver services effectively, clients agree to:
- Provide accurate information about the space, usage, and requirements
- Grant access to the property as needed for site visits and oversight
- Respond to design presentations and requests for feedback within agreed timeframes
- Notify the Studio promptly of any changes to project scope or requirements
7. Intellectual Property
All designs, renders, drawings, and documentation produced by Canopy & Grain remain the intellectual property of the Studio until all fees have been paid in full. Upon full payment, the Client receives a non-exclusive licence to use the deliverables for the specific project they were created for.
Clients may not reproduce, sell, or adapt Studio deliverables for other purposes without written consent. The Studio retains the right to reference the project as part of its portfolio subject to the Client's privacy preferences as stated in our Privacy Policy.
8. Scope Changes
Changes to project scope requested by the Client after initial agreement may result in revised timelines and additional fees. The Studio will provide a written scope change estimate before proceeding. Clients are not obliged to accept scope changes.
9. Disclaimers
Interior design outcomes depend on many factors including contractor quality, material availability, and site conditions. The Studio applies professional care but cannot accept responsibility for outcomes that depend on third-party execution unless the Rooted Execution service has been engaged.
Material samples and renders are accurate representations but final results may vary slightly due to lighting, production tolerances, and site conditions.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, the Studio's total liability in connection with any service shall not exceed the fees paid for that specific service. The Studio is not liable for indirect, consequential, or incidental losses arising from the use of our services.
11. Termination
Either party may terminate a service agreement with 14 days written notice. Fees for work completed up to the termination date are payable. Termination does not affect rights or obligations accrued before termination.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt informal resolution by direct communication. If unresolved within 30 days, disputes shall be referred to mediation or, if necessary, to the courts of Malaysia with jurisdiction in Kuala Lumpur.
13. General Provisions
- Entire Agreement: These Terms, together with any project-specific documentation, constitute the complete agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any provision does not waive the right to enforce it later.
- Notices: Formal notices should be sent to the email or postal address below.
14. Changes to These Terms
We may update these Terms periodically. Changes will be posted on this page with a revised date. Continued use of our services or website after any update constitutes acceptance of the revised Terms.
